Peter B. Knepper is a veteran senior executive with strong management, leadership and communication skills and a proven record of success in the media, entertainment, and electronic commerce industries. His experience includes managing and operating businesses domestically and internationally with an emphasis on financial, operational and administrative functions.

During the last seventeen years, he has been involved in more than twenty-five merger and acquisition transactions, two initial public offerings raising approximately $170 million, a spin out of a subsidiary from a public company to its shareholders, a $300 million unsecured high yield bond offering, a $75 million zero coupon bond offering, a $67 million preferred stock sale to private equity interests, and several bank loan syndications, the largest of which was $475 million.

From March 2000 through June 2003, Peter served as Executive Vice President and Chief Financial Officer of Key3Media Group, Inc. (now MediaLive International), the producer of COMDEX and NetWorld+Inteop, at that time the two largest business-to-business tradeshow and conference brands serving the information technology industry. In conjunction with the CEO and General Counsel of the Company, Peter was responsible for the spin out of the company and its subsidiaries from its parent Ziff Davis Inc. in August 2000. This spin out included arranging new equity and debt financing of approximately $525 million and moving a substantial amount of back office activity from its parent into the new entity. A refinancing of the initial capitalization was undertaken in June 2001 with a $300 million high yield bond offering. Acquisition and business development activity included four acquisitions valued at approximately $150 million. He also led restructuring and reorganization efforts using a change of control transaction facilitated through a successful Chapter 11 filing.

Prior to Key3Media, Peter was Senior Vice President and Chief Financial Officer of Ticketmaster Group, Inc. During his employment with Ticketmaster, the company’s enterprise value rose from approximately $40 million to nearly $1 billion, and annual retail ticket sales grew from $275 million to over $2 billion. He was instrumental in the completion of more than twenty business combinations, the commencement of operations in eight foreign countries, and the successful completion in 1996 of an initial public offering raising approximately $100 million.
